1. About these terms
These terms apply to services provided by FHAVI Ltd (“FHAVI”, “we”, “us”), company number [Company registration number], registered office [Registered office address]. Where a written proposal or scope agreed with you differs from these terms, the written proposal takes precedence for that engagement.
2. Our services
We provide technical and operational services for ecommerce businesses, including Google Merchant Center remediation, store development, product and catalog management, virtual assistance, marketing and analytics setup, and automation. The specific deliverables, limits, timing and price for your work are set out in a written proposal or scope that you approve before work begins.
3. Proposals, scope and changes
- Published prices are starting prices or ranges. Your price is confirmed in writing.
- Work outside the agreed scope is quoted separately and only starts with your written approval.
- Packages and monthly services include stated limits, such as numbers of products or hours. They never include unlimited work.
4. Your responsibilities
- provide accurate, complete and lawful business information, product data and instructions;
- give us the access we need in good time, using staff or collaborator accounts where available;
- review and approve work when requested;
- ensure your products, claims and business practices comply with applicable laws and platform policies;
- keep ownership of, and responsibility for, your accounts, domains, subscriptions and data.
5. Third-party platforms
FHAVI is independent and is not affiliated with, endorsed by or acting for Google, Shopify or any other platform. Those platforms set their own policies, make their own decisions and may change their systems at any time. We are not responsible for their decisions, outages or changes.
6. No guaranteed outcomes
We carry out our work with reasonable skill and care, but we do not guarantee outcomes that depend on third parties or the market, including Merchant Center approval or reinstatement, review timelines, sales, advertising performance, conversion rates or search rankings.
7. Work we will not do
We will not, and may stop work if asked to:
- create new or replacement accounts to evade a suspension or other enforcement;
- submit false or misleading information to any platform;
- invent business details, reviews, testimonials or endorsements;
- infringe intellectual property rights or break the law or platform policies.
8. Fees and payment
- Fees are in US dollars unless agreed otherwise.
- One-time projects are invoiced as set out in your proposal, which may require payment before work starts.
- Monthly services are invoiced in advance for each billing period.
- We may pause work while invoices are overdue.
- Prices exclude any taxes that apply to you. We never collect payment card details through this website.
9. Third-party costs
Unless explicitly agreed in writing, third-party costs are not included in our fees and are paid by you directly. These include ad spend, platform subscriptions, paid themes and apps, email and helpdesk tools, automation platforms and supplier fees.
10. Monthly services
- Monthly services renew each month until cancelled, unless your proposal states a minimum term.
- Hour and volume allowances apply per month and do not roll over unless agreed in writing.
- Work is carried out during agreed working hours. We do not provide 24/7 coverage.
- You can cancel by email before your next billing date.
11. Access and security
We access your accounts only to perform agreed work and request only the permissions needed. You can remove our access at any time, and we will ask you to do so when the work ends. We are not responsible for changes made to your accounts by you or by others.
12. Intellectual property
Once paid in full, deliverables created specifically for you — such as configured pages, written content and documentation — belong to you. We keep ownership of our pre-existing materials, tools, templates and know-how. Third-party themes, apps and software remain subject to their own licences.
13. Confidentiality
Each party will keep the other's confidential information private and use it only for the engagement, except where disclosure is required by law.
14. Limitation of liability
To the extent permitted by law, our total liability arising from an engagement is limited to the fees you paid us for that engagement in the [three] months before the claim. We are not liable for indirect or consequential losses, lost profits or revenue, or losses caused by third-party platform decisions. Nothing in these terms limits liability that cannot be limited by law.
15. Termination
Either party may end an engagement by written notice. You pay for work completed and services provided up to the end date. Refunds are handled under our Refund Policy.
16. Governing law
These terms are governed by [Governing law and courts, to be confirmed].
17. Changes
We may update these terms. Changes do not affect engagements already agreed in writing unless both parties agree.
